Terms of Service

These Terms govern your use of the SyPay application and the wallets, transfers, currency exchange and agent cash services it provides.

Please read these Terms carefully before You create a SyPay wallet. They form a binding agreement between You and SyPay, and they set out what You can expect from Us and what We expect from You.

These Terms should be read together with Our Privacy Policy, which explains how We collect and use Your information.

1.Agreement to These Terms

These Terms of Service (the "Terms") govern Your access to and use of the SyPay mobile application and every service offered through it (together, the "Service"). By creating a SyPay Account, or by otherwise accessing or using the Service, You agree to be bound by these Terms.

If You do not agree with any part of these Terms, You may not create an Account or use the Service.

We may make these Terms available in more than one language. Where a translation is provided for convenience and a conflict arises, the English version governs.

2.Interpretation and Definitions

The words whose initial letters are capitalized have the meanings defined below. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Account
a unique account created for You to access the Service, identified by Your verified mobile number.
Agent
an independent person or business authorized by the Company to accept and pay out cash against a Cash Ticket.
Application
SyPay, the software program provided by the Company and downloaded by You onto a Device.
Balance
the amount of electronic value recorded in a Wallet at a given moment.
Cash Ticket
a request created in the Application to deposit cash into, or withdraw cash from, Your Wallet at an Agent.
Company
(referred to as either "the Company", "We", "Us" or "Our" in these Terms) refers to SyPay.
Country/State
refers to: Lebanon.
Device
any device that can access the Service, such as a computer, a cell phone or a digital tablet.
Exchange Rate
the buy or sell rate displayed in the Application at the moment You confirm an exchange between currencies.
PIN
the personal identification number You set to authorize Transactions, together with any biometric unlock You enable in its place.
Service
the Application and all functionality made available through it.
Transaction
any transfer, payment, currency exchange, cash in or cash out recorded against a Wallet.
Wallet
the Syrian pound (SYP) or United States dollar (USD) balance held in Your Account.
You
the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

3.Eligibility and Your Account

To open and hold a SyPay Account, You confirm that:

  • You are at least 18 years old, or the age of majority in Your jurisdiction if that is higher.
  • You control the mobile number You register, and it is capable of receiving verification messages.
  • You are acting on Your own behalf and not for an undisclosed third party.
  • The information You give Us is true, complete and current, and You will keep it up to date.
  • You will hold only one Account, unless We agree otherwise in writing.

Your Account is personal to You. You may not sell, lend, or transfer it, or allow anyone else to use it.

4.Identity Verification

SyPay is a financial service, so every Wallet completes identity verification. Before or during Your use of the Service, We may ask You to provide identity documents, a photograph, proof of address, or information about the source of funds.

Until verification is complete, We may limit the features available to You, including the amounts You can hold, send or withdraw. If We cannot verify Your identity, or if information You gave Us proves to be inaccurate, We may restrict, suspend or close Your Account in line with the "Suspension, Restriction and Closure" section below.

We may repeat verification at any time where the law requires it or where We reasonably consider it necessary to protect You or the Service.

5.Your SyPay Wallets

Your Account holds two Wallets — one in Syrian pounds (SYP) and one in United States dollars (USD) — which You may fund, spend and exchange between independently.

  • Your Balance is electronic value recorded by Us, representing the funds available to You through the Service.
  • A Wallet is not a bank account and a Balance is not a bank deposit.
  • A Balance earns no interest and confers no investment return of any kind.
  • Your Balance changes only through Transactions recorded in the Service, and every one of them appears in Your Transaction history.

The currency You hold is the currency You get back: a SYP Balance is repaid in Syrian pounds and a USD Balance in United States dollars, unless You choose to exchange between them.

6.Sending and Receiving Money

You can send money to another SyPay user by entering their registered phone number or by scanning their QR code, and You can receive money by sharing Your own number or personal QR code.

  • Every outgoing Transaction is confirmed with Your PIN or the biometric unlock You have enabled.
  • The Application shows the recipient, the currency and the exact amount before You confirm. Check them — they are Your responsibility.
  • Transfers between SyPay users are ordinarily immediate, and once confirmed they are final.
  • You will receive a notification and a receipt in Your Transaction history for every Transaction.
  • We may delay, refuse or reverse a Transaction where We are required to do so by law, or where We reasonably suspect fraud, error or unauthorized use.

A transfer sent to the wrong person because of a number or QR code You entered cannot be reversed by Us. We will make reasonable efforts to help You recover it, but We cannot take funds back from a recipient without their consent or a lawful instruction to do so.

7.Currency Exchange

You may exchange value between Your SYP and USD Wallets at the Exchange Rate displayed in the Application at the moment of the exchange.

  • Today's buy and sell rates are shown in the Application, and the exact amount You will receive is shown before You confirm.
  • Rates move continuously and are set by Us. A rate shown to You is an offer valid for a short period, and may change before You confirm.
  • The rate applied is the one displayed on the confirmation screen You approve — not a rate seen earlier.
  • A confirmed exchange is final and cannot be undone by reversing it at a different rate.

We do not guarantee that Our rate matches any market, bank or street rate, and We are not obliged to offer exchange at any particular time.

8.Cash In and Cash Out through Agents

You can add cash to Your Wallet or take cash out of it by creating a Cash Ticket in the Application and settling it at a SyPay Agent.

  • A Cash Ticket is valid for a limited time and for the amount and currency shown on it. An expired ticket must be created again.
  • The Agent will confirm the ticket at the counter, and Your Balance updates once the Transaction is recorded in the Service.
  • You may be asked to show identification before an Agent settles a ticket.
  • Never hand cash to anyone without a valid Cash Ticket, and never share the ticket details with anyone other than the Agent settling it.

Agents are independent businesses, not employees of SyPay. We are responsible for the Transaction recorded in the Service; We are not responsible for any separate arrangement, charge or promise an Agent makes to You outside the Service.

9.Fees and Limits

Opening a SyPay Wallet is free and there is no monthly fee. Where a fee applies to a Transaction, it is shown in the Application before You confirm, and it is taken from the relevant Wallet at the time of the Transaction.

We may apply limits to the amount You can hold, send, exchange, deposit or withdraw — per Transaction, per day, or overall — based on Your verification level, applicable law, and Our assessment of risk. Limits and fees may change; We will give You notice of changes in accordance with the "Changes to These Terms" section, and current fees and limits are always visible in the Application.

Third parties, such as Your mobile network, may charge You separately for data or messages. Those charges are not Ours.

10.Keeping Your Account Secure

Your Account is protected by Your PIN and, if You enable it, Your Device's fingerprint or face unlock. Keeping those safe is Your responsibility:

  • Choose a PIN that is not easily guessed, and do not reuse a PIN You use elsewhere.
  • Never share Your PIN, Your one-time verification codes, or Your screen with anyone — including anyone claiming to work for SyPay.
  • Keep Your Device locked, and only enable biometric unlock on a Device that no one else's biometrics are registered on.
  • Tell Us immediately if Your Device is lost or stolen, if You think someone knows Your PIN, or if You see a Transaction You did not make.

SyPay will never ask You for Your PIN or for a one-time code, by phone, message or any other channel. Anyone who does is attempting to defraud You.

Until You notify Us, You are responsible for Transactions authorized with Your PIN or biometrics. Once You notify Us, We will act promptly to secure Your Account. Signing in on a new Device requires verification.

11.Acceptable Use

You agree not to use the Service to do, or attempt to do, any of the following:

  • Break any applicable law or regulation, including those on money laundering, terrorist financing, sanctions and tax.
  • Commit or facilitate fraud, or handle funds You know or suspect come from unlawful activity.
  • Impersonate another person, use another person's Account or identity documents, or operate an Account for an undisclosed third party.
  • Send unsolicited, abusive or deceptive messages, requests or payment demands to other users.
  • Copy, modify, decompile, reverse engineer or create derivative works from the Application, except to the extent the law expressly permits it.
  • Access the Service by automated means, or interfere with its operation, security or availability.
  • Abuse, threaten or harass Our staff, Our Agents, or other users.

We may report suspected unlawful activity to the competent authorities and provide them with information about You and Your Transactions where the law requires or permits it.

12.Suspension, Restriction and Closure

We may suspend, limit or close Your Account, or block a specific Transaction, where:

  • We reasonably suspect fraud, unauthorized access, or unlawful use of the Service.
  • We are required to do so by law, by a regulator, or by a court or other competent authority.
  • You breach these Terms, or We are unable to verify Your identity or the information You have given Us.
  • Continuing to provide the Service would expose You, other users, or Us to unacceptable risk.

Where We take such a step, We will tell You and explain Our reasons as soon as We can, unless the law prevents Us from doing so.

You may close Your Account at any time by contacting Us. Before closure, withdraw or transfer Your remaining Balance. Closing Your Account does not end obligations that arose before it closed, and We may retain records as described in Our Privacy Policy.

13.Transaction Records and Disputes

Every Transaction produces a receipt in Your Transaction history and a notification on Your Device. Please review them and tell Us promptly about anything You do not recognize.

Report a suspected error or unauthorized Transaction as soon as You notice it, and in any event within 30 days of the date it appears in Your history. Reporting later may limit what We are able to investigate or recover.

Our records of Transactions are the primary evidence of what took place, unless You show them to be wrong. We will investigate reports in good faith and tell You the outcome.

14.Availability and Changes to the Service

We work to keep the Service available, but We do not promise that it will be uninterrupted or error-free. Access may be suspended for maintenance, upgrades, network or power outages, or events beyond Our reasonable control.

We may add, change, or withdraw features of the Service. Where a change materially reduces what the Service does for You, We will give You reasonable notice unless the change is needed urgently for security or legal reasons.

You are responsible for keeping the Application up to date and for the Device, operating system and internet connection You use to reach it. Older versions may stop working.

15.Intellectual Property

The Service, the Application and their original content, features and functionality — including the SyPay name, logo, design and software — are and will remain the exclusive property of the Company and its licensors, and are protected by copyright, trademark and other laws.

We grant You a limited, personal, non-exclusive, non-transferable and revocable licence to install and use the Application on a Device You own or control, for Your own use of the Service, and for no other purpose. Our name and logo may not be used in connection with any product or service without Our prior written consent.

16.Third-Party Services and Links

The Service may rely on, link to, or interoperate with services We do not operate — app stores, mobile networks, messaging providers and Agents among them. We do not control those services and We are not responsible for their content, terms or practices.

Your use of a third-party service is governed by that third party's own terms. We encourage You to read them.

17.Disclaimer

To the fullest extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, whether express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the Service will meet Your requirements, be available uninterrupted or error-free, or that any defect will be corrected. Nothing in these Terms excludes any liability that cannot lawfully be excluded, and some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to You.

18.Limitation of Liability

To the fullest extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or opportunity, arising out of or in connection with Your use of, or inability to use, the Service.

Our total liability to You for all claims arising out of or relating to the Service is limited to the amount of the Transaction or Transactions giving rise to the claim, or the fees You paid Us in the twelve months before the claim arose, whichever is greater.

We are not liable for losses caused by Your failure to keep Your PIN or Device secure, by details You entered incorrectly, or by an arrangement You made outside the Service.

19.Indemnification

You agree to indemnify and hold harmless the Company, its affiliates and their officers, employees and agents from any claim, demand, loss or expense — including reasonable legal fees — arising from Your breach of these Terms, Your misuse of the Service, or Your violation of any law or the rights of a third party.

20.Privacy

Our Privacy Policy explains what information We collect when You use the Service, how We use and share it, how long We keep it, and the rights You have over it. It forms part of Your agreement with Us, and using the Service means You have read it.

21.Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date at the top.

Where a change is material, We will let You know by email, by a notice in the Application, or both, before it takes effect. Continuing to use the Service after a change takes effect means You accept the revised Terms. If You do not accept them, stop using the Service and close Your Account.

22.Governing Law and Disputes

The laws of Lebanon, excluding its conflict of law rules, govern these Terms and Your use of the Service. Your use may also be subject to other local, national or international laws that apply to You.

If You have a concern or a complaint, contact Us first — most matters are resolved quickly and directly. If We cannot resolve it informally, the courts of Lebanon shall have jurisdiction, without prejudice to any mandatory right You have to bring proceedings in the courts of Your own country of residence.

23.Severability, Waiver and Entire Agreement

If any provision of these Terms is held to be unenforceable or invalid, that provision will be changed and interpreted to accomplish its objective to the greatest extent possible under applicable law, and the remaining provisions will continue in full force.

Our failure to enforce a right or provision of these Terms is not a waiver of it. These Terms, together with Our Privacy Policy and any terms shown to You in the Application for a particular feature, are the entire agreement between You and Us about the Service.
